Effective date: 2026-11-03
These Marketplace Terms apply to businesses that list and sell goods (“Sellers”) and to customers who buy goods (“Buyers”) through the Stawi Digital Marketplace (the “Marketplace”). They supplement our Terms of Service, Privacy Policy and Refund and Cancellation Policy. The Marketplace is currently in development; these terms will apply in full when it launches.
Stawi’s role as platform operator
- The Marketplace is operated by Stawi Labs Limited (trading as Stawi, “we”, “us”). We provide the technology that allows Sellers to list products and Buyers to find and order them.
- We are not the seller of any goods on the Marketplace. We do not own, stock, inspect, pack or deliver goods. The sale contract is between the Buyer and the Seller.
- We do not act as agent for either party, except to the limited extent needed to transmit orders and messages between them.
| Stawi is responsible for | The seller is responsible for |
|---|---|
| Operating and maintaining the platform | Accuracy and legality of listings |
| Providing listing, order and messaging tools | Stock levels, pricing and taxes on goods |
| Platform-level support and account management | Accepting, packing and delivering orders |
| Mediating disputes where requested | Returns, refunds and product warranties |
| Enforcing these terms and the prohibited products list | Product safety, compliance and product liability |
| Protecting platform data in line with our Privacy Policy | First-line customer service to Buyers |
Independent seller status
- Sellers are independent businesses. Nothing in these terms creates an employment, agency, partnership or joint venture between a Seller and us.
- Sellers set their own prices, choose their own products and decide whether to accept each order.
- Sellers must not describe themselves as Stawi, as part of Stawi, or as endorsed by Stawi.
Seller eligibility and registration
- To sell, you must be a legally operating business or sole trader, aged 18 or over, and able to enter into binding contracts.
- You must provide accurate business details, a contact person, and any registration, tax or licence information we or the payment partner require.
- We may verify your information and may decline or delay an application at our discretion. Registration of interest does not guarantee acceptance.
- You are responsible for keeping your details current and your login secure.
Product listing standards
- Listings must include a clear title, honest description, accurate photographs of the actual product or an accurate representative image, price, available quantity, delivery options and return terms.
- Images and text must be your own or properly licensed. Do not copy other sellers’ content.
- Each listing must be placed in the correct category and must not include contact details or links designed to take the transaction off the platform.
- We may edit, hide or remove listings that breach these standards.
Accurate descriptions and pricing
- You must not misdescribe goods, their condition, origin, quantity or specifications.
- Prices must be the total price payable for the goods, in the platform’s displayed currency, including any taxes you are required to charge. Delivery charges must be shown separately and clearly.
- If you list a wrong price by mistake, you may cancel affected orders before dispatch, but you must notify the Buyer promptly and must not substitute a higher price without agreement.
Product availability and order acceptance
- A Buyer’s order is an offer to purchase. The Seller accepts it by confirming the order through the platform.
- Sellers must confirm or decline orders within [to be confirmed]. Orders not confirmed in that time may be cancelled automatically.
- Sellers must keep stock levels accurate and must not accept orders they cannot fulfil.
Payment arrangements
- Payment processing for the Marketplace is enabled only after our payment partner has given written approval of the Marketplace model and of each individual Seller. Until that approval is in place, checkout is not live, no payments are collected through the platform and no Seller is permitted to take payment through the Marketplace.
- Once enabled, Buyer payments are processed by the payment partner through its hosted checkout. We never collect or store card details.
- We do not hold funds on Sellers’ behalf unless and until a lawful, contractual arrangement with the payment partner is in place that permits it. The flow of funds, settlement timing and any reserve or hold policy will be set out in the Seller’s payment agreement with the partner.
- Sellers must comply with the payment partner’s terms, including identity verification and prohibited-business rules.
- Before checkout is live, Sellers may not use the Marketplace to direct Buyers to off-platform payment methods.
Fees and commissions
- Commission on completed sales: [to be confirmed].
- Listing fee: [to be confirmed].
- Settlement cycle: [to be confirmed].
- Fees are deducted from the amounts due to the Seller or invoiced to the Seller, as set out in the payment arrangement. Payment partner processing fees may apply in addition.
- We may change fees by giving Sellers at least 30 days’ notice. Fee changes do not apply to orders already placed.
Fulfilment and delivery
- Sellers must dispatch confirmed orders within the time stated on the listing, and in any case within [to be confirmed].
- Sellers must use a delivery method appropriate to the goods, provide tracking where available, and update the order status on the platform.
- Risk in the goods passes to the Buyer on delivery. Sellers remain responsible for goods lost or damaged in transit unless the Buyer arranged the delivery.
- Sellers must comply with any laws on labelling, safety and transport that apply to their goods.
Returns, refunds and cancellations
- Sellers must state a return policy on each listing that is at least as generous as applicable consumer law requires.
- Faulty, damaged or incorrectly described goods must be accepted for return and refunded or replaced at the Buyer’s choice.
- Cancellations before dispatch must be accepted without charge.
- Refunds to Buyers are processed through the payment partner to the original payment method. Our commission on a fully refunded order is reversed.
- The process and timeframes for Buyers are in section 3 of the Refund and Cancellation Policy.
Customer support and disputes
- Sellers provide first-line support to Buyers and must respond to Buyer messages within [to be confirmed].
- We provide platform support (accounts, listings, technical issues) at [email protected].
- If a Buyer and Seller cannot resolve an issue, either may ask us to mediate. We will review the order record and evidence and give a decision within [to be confirmed]. Sellers agree to act on our decision, including issuing refunds where we find in the Buyer’s favour.
- Mediation does not prevent either party from pursuing legal remedies.
Prohibited products
The following may not be listed or sold on the Marketplace:
- illegal goods or goods whose sale requires a licence the Seller does not hold;
- weapons, munitions, explosives and their components;
- controlled substances, drug paraphernalia and prescription medicines;
- tobacco, nicotine products and vaping products;
- marijuana, cannabis and related products, including CBD products;
- counterfeit, pirated or trademark-infringing goods;
- live animals;
- items that promote hate, discrimination or violence;
- stolen goods, or goods obtained through fraud;
- anything prohibited by our payment partner’s acceptable use policy, which takes precedence over this list.
We may update this list at any time and remove listings that breach it without notice.
Seller account suspension and termination
- We may suspend or terminate a Seller account if the Seller breaches these terms, lists prohibited products, receives repeated valid complaints, fails payment partner checks, or acts in a way that harms Buyers or the platform.
- Where practical, we will give notice and an opportunity to respond. For serious breaches we may act immediately.
- On termination, the Seller must fulfil or refund orders already accepted. Outstanding fees remain payable. Settlement of any amounts due to the Seller follows the payment arrangement, subject to deductions for refunds and fees.
- A Seller may close their account with 30 days’ notice, provided all open orders are fulfilled.
Liability allocation
- Sellers are solely liable for the goods they sell, including product safety, warranties, regulatory compliance and any injury or loss caused by the goods.
- Sellers agree to compensate us for claims, losses and costs arising from their listings, goods or breach of these terms.
- We are liable to Sellers only for direct losses caused by our failure to operate the platform with reasonable care, and our total liability to a Seller in any 12-month period is limited to the fees that Seller paid us in that period.
- Nothing in these terms limits liability that cannot be limited by law, or Buyers’ rights under applicable consumer protection law.
Changes
We may update these terms from time to time. Material changes will be notified to registered Sellers by email at least 30 days before they take effect. Continued use of the Marketplace after that date means acceptance of the updated terms. These terms are governed by the laws of [to be confirmed].
