This document is a working commercial draft prepared for Stawi Labs Limited. Items shown as [to be confirmed] are pending owner confirmation and legal review.
Effective date: 2026-11-03
Overview
- The Partner and Referral Programme (the “Programme”) is run by Stawi Labs Limited (trading as Stawi, “we”, “us”). It allows approved partners (“you”, “Partner”) to earn commissions on qualifying revenue from customers you refer to Stawi’s own products and services.
- The Programme covers referrals to products we sell directly, such as Job Alerts subscriptions and Website Solutions. It does not cover goods sold by independent Sellers on the Digital Marketplace, unless we say so in writing.
- These terms form a contract between you and us when we approve your application. They supplement our Terms of Service and Privacy Policy.
- You are an independent contractor. Nothing in these terms makes you our employee, agent, legal partner or representative, and you may not bind us to any obligation.
Eligibility and approval
- You must be at least 18, able to enter into contracts, and operating lawfully in your country.
- You must apply through the website or by email to [email protected], giving accurate information about yourself, your business and how you intend to promote Stawi.
- We review each application and may approve or decline it at our discretion. We may ask for identity or business verification before approval or before any payout.
- Approval may be withdrawn if the information you gave us was inaccurate or if your promotional channels change in a way we have not approved.
Referral tracking
- On approval you receive a unique referral link and/or referral code. Referrals are attributed to you when a customer arrives through your link or enters your code during sign-up or checkout.
- Attribution window: a customer who clicks your link is attributed to you if they make a qualifying purchase within [to be confirmed] of the click, provided no later referral from another Partner has replaced yours.
- Tracking relies on cookies, link parameters and codes. If a customer blocks cookies, clears their browser or uses a different device, we may be unable to attribute the referral. We attribute referrals in good faith on the basis of our records, which are final except in cases of demonstrable error.
- Referrals of customers who already have a Stawi account or who have purchased from us before are not attributed to you unless we agree otherwise in writing.
Qualifying transactions
A referral earns commission only if it results in a qualifying transaction, meaning a purchase that is:
- made by a genuinely new customer whom you referred;
- for one of Stawi’s own products covered by the Programme;
- completed and paid in full to us; and
- not refunded, reversed or charged back within the hold period.
Free-tier sign-ups, trials, quotations and unpaid invoices are not qualifying transactions. Purchases by you, your business, your employees or your immediate family are excluded.
Commission calculation
- Commission rate: [to be confirmed].
- Commission is calculated on the net amount we actually receive, after taxes, payment processing fees, discounts and refunds. For subscriptions, the period over which commission is earned is set by the commission rate definition above.
- For Website Solutions projects, commission is calculated on the project fee actually paid, excluding third-party costs (such as domains and licences) and excluding hosting unless the rate definition includes it.
- We may offer different rates for specific campaigns or products. Any special rate must be confirmed in writing and applies only to the referrals it describes.
- Your Partner dashboard or monthly statement shows attributed referrals and commissions. Report any discrepancy within 30 days of the statement date.
Payment timing and thresholds
- Hold period: commissions become payable [to be confirmed]. This allows for refunds, cancellations and chargebacks.
- Payout schedule: [to be confirmed].
- Minimum payout: [to be confirmed]. Balances below the minimum roll over to the next payout period.
- Payouts are business expenses paid by us to you. They are not customer refunds and are not Marketplace seller settlements.
- We may withhold payment while we investigate suspected invalid referrals or if you have not provided required verification or tax information.
Payout methods
- Available payout methods: [to be confirmed].
- You must provide accurate payout details. We are not responsible for payments sent to incorrect details you supplied.
- Payouts are made in the currency we specify. Bank, mobile-money or currency conversion charges applied by your provider are your responsibility.
- Unclaimed balances on a closed account are forfeited 12 months after closure unless the law requires otherwise.
Invalid referrals and fraud
The following are invalid and earn no commission. Repeated or deliberate breaches lead to termination and forfeiture of unpaid commissions:
- Self-referrals — purchases by you, your business, your staff or household, or through accounts you control;
- Fraud — fake accounts, stolen payment methods, or transactions made to generate commission rather than genuine use;
- Spam — unsolicited bulk email, messages or comments containing your link;
- Misleading promotion — false claims about Stawi, its products, prices or outcomes, including any suggestion that Job Alerts guarantees employment;
- Brand-term bidding — buying search or social advertising on “Stawi”, “Stawi Labs” or misspellings of them, or using our brand in ad display URLs;
- Incentivised referrals without our written consent, such as offering cash back or rewards for signing up;
- Cookie stuffing, forced clicks, iframes, redirects or any technical manipulation of tracking;
- Impersonation — presenting yourself as Stawi, as our employee, or as an official Stawi site or page.
We may reverse commissions attributed through any invalid method, including after payment.
Reversals, refunds and chargebacks
- If a referred customer’s payment is refunded, reversed, disputed or charged back, the related commission is cancelled.
- If the commission has already been paid, we deduct the amount from your next payout. If no further payouts are due, we may invoice you and you agree to repay within 30 days.
- Partial refunds result in proportionate commission reductions.
- Subscription commissions stop when the customer cancels or their payment fails and is not recovered.
Promotion rules
- Be truthful. Describe our products accurately using the information on our website. Do not invent features, prices, guarantees or results.
- No spam. Only share your link in places where you have permission to post and where it is relevant.
- No brand-term bidding on search engines or social platforms, and no use of our brand in domain names, social handles or ad display URLs.
- Disclose the relationship. Make clear to your audience that you may earn a commission from referrals, in a way that meets the advertising and consumer protection rules where you operate.
- Use approved assets. Use our logos and brand assets only as we supply them and without modification. We grant you a limited, revocable licence to use them solely for the Programme.
- Stay lawful. Comply with all advertising, marketing, data protection and anti-spam laws that apply to you.
- No financial services claims. Do not describe Stawi as a bank, lender, payment institution or investment provider, or promote financial technology services that are not yet offered.
Taxes
- You are responsible for all taxes on commissions you receive, including income tax and any VAT or sales tax you are required to charge.
- We may ask for tax identification details before paying you and may withhold tax where the law requires. Commissions are stated exclusive of any tax you must charge; if you are required to issue an invoice, you must do so before payout.
Confidentiality and data
- Commission rates, performance statistics and any non-public information we share with you are confidential and may not be disclosed without our consent.
- You will receive only aggregated or limited information about referred customers (such as counts and commission amounts), never their payment details. Any personal data you do receive must be handled lawfully and only for the Programme.
- You must have a lawful basis and, where required, consent for any marketing you send that contains our links.
- We process your personal data as described in our Privacy Policy.
Termination
- Either party may end participation at any time by written notice (email is sufficient).
- We may terminate immediately for breach of these terms, fraud, conduct that damages our reputation, or if we close the Programme.
- On termination you must stop using our links, codes and brand assets. Commissions already earned on valid qualifying transactions, and past the hold period, are paid in the next scheduled payout. Commissions on invalid referrals or earned in breach of these terms are forfeited.
- Termination for breach does not affect our right to recover amounts owed to us.
Changes
We may update these terms, including commission rates, hold periods, payout schedules and thresholds, by giving you at least 30 days’ notice by email or through the Partner dashboard. Changes do not reduce commission on qualifying transactions completed before the change takes effect. Continued participation after the effective date means you accept the updated terms.
Disputes
- Raise any question about attribution, commission or payouts by email to [email protected] within 30 days of the relevant statement. We will investigate and respond within 30 days.
- Our tracking records are the primary evidence of attribution. We will correct demonstrable errors.
- If we cannot resolve a dispute informally, these terms are governed by the laws of [to be confirmed], and the courts of that jurisdiction have non-exclusive jurisdiction.
